1. Definitions
- Agency: Ethos Model Management.
- Model: The individual represented by the Agency.
- Client: Any business, brand, designer, publication, or production company booking the Model through the Agency.
- Booking: A confirmed modeling job, appearance, fitting, campaign, runway, promotion, test shoot, or related engagement.
- Mother Agency: The Agency acting as the Model’s primary representative for guidance, development, and placement.
2. Representation Role
Ethos provides representation, development, placement, and booking coordination. Representation does not guarantee work, but the Agency will use good-faith efforts to secure appropriate opportunities.
The Model is represented as an independent contractor, not an employee of the Agency.
3. Commission Structure
The Agency earns commission on confirmed client bookings. Commission percentages may vary depending on:
- Market or territory
- Job category (editorial, runway, commercial, beauty, advertising, etc.)
- If placement involves a partner agency
If placed with a partner agency, Mother Agency commission applies to earnings from that placement. Specific percentages are detailed in the Representation Agreement.
4. Fees and Transparency
Ethos does not charge models upfront fees for representation and does not sell portfolio packages, classes, workshops, or paid submissions.
Optional expenses such as comp cards, studio digitals, or approved development travel may occur. These are discussed in advance, completed only with consent, and typically deducted from future earnings.
All optional expenses are itemized on Model statements.
5. Payments
The Agency receives client payments and deducts commission and approved expenses before issuing payment to the Model. The Model is paid once the Agency has received payment from the client. The Agency is not responsible for client payment delays.
6. Exclusivity and Placement
When serving as Mother Agency, Ethos coordinates international agency placement. Mother Agency commission remains payable for placements introduced by the Agency during the period stated in the Representation Agreement.
7. Professional Conduct
- Communicate schedule availability and travel plans in advance
- Maintain professional conduct during castings and bookings
- Notify the Agency before major appearance changes
- Keep contact information up to date
8. Use of Images
The Agency may display the Model’s digitals, portfolio materials, and related content to secure work. Upon termination, the Model may request removal of such materials.
9. Liability and Indemnification
The Agency is not liable for casting outcomes, client cancellations, market conditions, or events outside its control. The Model agrees to indemnify the Agency for losses resulting from misrepresentation or breach.
10. Termination
Either party may terminate representation as stated in the Representation Agreement. Commissions for work arranged before termination remain payable.
11. Recruitment Warning
There may be individuals who falsely claim to represent Ethos Model Management. The Agency communicates only through official channels and does not request personal images of a sensitive nature, informal video calls, or payment for representation. 12. Governing Law
These Terms are governed by the laws of the State of New York. Disputes are resolved in New York County.
